About the Subscription Service


Welcome to www.infirmaryco.com.au First Aid Kit Servicing & Subscription Service. The Subscription Service is a first-aid Kits & first-aid supplies, servicing & maintenance Service offered too businesses (Goods and Services).


The Website that manages your subscription is operated by INFIRMARY CO PTY LTD (ACN 696 634 698, ABN 83 696 634 698) (we, us, our).


Access to and use of the Website and our Subscription Service, or any of its associated Goods or Services, is provided by INFIRMARY CO PTY LTD. Please read these terms and conditions carefully. By accepting and using one of our subscription plans, this signifies that you have read, understood and agree to be bound by these terms and conditions (Terms). If you do not agree with the Terms, you must cease use of our subscription Services by contact us via email: info@infirmaryco.com.au.


We may update these Terms from time to time where reasonably necessary to reflect changes to our Goods, Services, Website functionality, applicable law, or business operations.


If we make a material change to these Terms, we will take reasonable steps to bring the change to your attention before it takes effect, such as by publishing the updated Terms on the Website and, where appropriate, providing notice by email or by a notice on the Website.


Any non-material updates take effect from the date they are published on the Website. Any material changes will take effect no earlier than 14 days after notice is given, unless an earlier change is required by law.


Before you continue, we recommend that you keep a copy of the Terms for your records.


The Website is hosted using the Wix.com ecommerce platform. They provide us with an on-line e-commerce platform that allows us to sell our products, Services, manage subscriptions and personal subscription accounts.


Acceptance of the Terms


You accept the Terms by continued use of our Subscription Service, make a purchase and/or create an account. You may also accept the Terms by clicking to accept or agree to the Terms where this option is made available to you by INFIRMARY CO PTY LTD in the user interface.


1. Definitions and interpretation


1.1 Definitions


In these Terms:


Agreement means these Terms and Conditions together with any accepted quote, order, subscription confirmation, direct debit authority, and any documents expressly incorporated by reference.


Business Day means a day that is not a Saturday, Sunday or public holiday in Western Australia.


Client means the individual, company, trust, partnership, sole trader or other entity acquiring the Service from Infirmary Co.


Client Materials means any information, records, instructions, site details, Kit information, access details, or other materials provided by or on behalf of the Client.


Consumables means items replaced during a Service Visit, such as dressings, bandages, saline, gloves and other standard first aid supplies approved by Infirmary Co for inclusion in a Kit.


Fees means all subscription Fees, additional charges, call-out Fees, restocking charges, variation charges, and any other amounts payable under this Agreement.


GST has the meaning given (Goods and Services Tax) Act 1999 (Cth).


Kit means a first aid Kit owned, leased or operated by you and registered by us under the applicable subscription.


Personal Information has the meaning given in the Privacy Act 1988 (Cth).


Platinum Services means Services provided under a custom quote for 5 or more Kits, multiple business location, or any other enterprise or bespoke arrangement agreed in writing.


Service means the first aid Kit inspection, restocking, compliance support and related Services described in this Agreement and in your subscription confirmation, excluding any excluded items or Services.


Service Visit means a scheduled onsite attendance or other agreed Service event by an Infirmary Co representative to perform the Service.


Subscription Period means the initial 12-month period starting on the date your subscription is activated, and each further renewal period of 12 months unless otherwise agreed in writing.


Standard Hourly Rate means the fee of $65.00 per hour (AUD, plus GST) charged by Infirmary Co for labour, consultation, site attendance, remediation, or any other billable Service time, unless a different rate has been expressly agreed in writing prior to the commencement of works. Where a fixed or alternative rate has been quoted and accepted, that rate will apply in place of the Standard Hourly Rate for the scope specified in the relevant quote. Time is calculated in 30-minute increments, with any partial increment charged as a full increment. Travel time to and from a Client's premises may be charged at the Standard Hourly Rate unless otherwise stated in a quote.


WHS Laws means all applicable work health and safety laws, regulations, codes of practice, standards and guidance applying to your workplace, premises or operations.


1.2 Interpretation


Unless the context otherwise requires:


a. A reference to a person includes an individual, body corporate, partnership, trust, unincorporated association and government authority;
b. Headings are for convenience only and do not affect interpretation;
c. The words "including", "for example" and similar expressions do not limit what else might be included; and
d. A reference to legislation includes any amendment, replacement or re-enactment of that legislation.
2. Subscription tiers and pricing


2.1 Standard tiers


The subscription tiers that are available, unless otherwise agreed in writing. All prices are in Australian dollars and are GST inclusive and are subject to change (see section 2.4).


2.2 Confirmation of subscription


Your subscription tier, Service frequency, number of Kits, commencement date and annual fee will be confirmed in your quote, checkout page, invoice, email confirmation or other written confirmation issued by us.


2.4 Price reviews


We may review our Fees from time to time. Any change to Fees applying to a renewal Subscription Period will be notified to you at least 30 days before the renewal date.


Any change to Fees during a current Subscription Period will only apply where:
a. You request additional Kit inspection, request an increase in
b. additional Services that is not included in your current tier or non-standard restocking;
c. Or you select to upgrade to a different tier
d. Your selected tier no longer matches the number of Kits Serviced or the Service requirements at your site; or
e. We otherwise agree the change with you in writing.


3. What the Service includes


3.1 Standard Service


Subject to your selected subscription tier, you acknowledge that we are not able to fully determine what your Kits require until our first visit.


Each Service Visit may include:


a. Visual inspection of each registered Kit and its contents;
b. Replacement of expired, depleted or unsuitable standard Consumables included within your subscription scope;
c. Provide general guidance against relevant first aid guidance and, where applicable, reference materials published by Safe Work Australia or similar WHS authorities, which will be included in the report;
d. Provision of a written Service report or record following the visit;
e. General guidance on Kit suitability having regard to the workplace information made available to us; and
f. Labelling, tagging or recording of stock status where applicable.


3.2 Standard restocking included


Your subscription fee includes standard restocking of ordinary Consumables typically required for routine maintenance, subject to fair and reasonable usage and the limits of your selected tier.


3.3 Additional Consumables and non-standard items


Items required outside normal servicing quantities, or arising from unusual usage, workplace incidents, theft, contamination, damage, misuse, emergency response events, or requests for specialised items, may be quoted and invoiced separately.


3.4 Advice only


Our written report, any comments, observations or suggestions made by us about your workplace, risk profile or Kit suitability are general in nature and are based on the information visible to us or provided by you at the time of the Service Visit.


3.5 Service Area


Unless otherwise agreed in writing, the subscription Service covers Service Visits within the Perth metropolitan area only.


If your premises are located outside the Perth metropolitan area between Mandurah 6210 and Two Rocks 6037, or if a Service Visit requires travel beyond that area, additional travel charges may apply.


4. Exclusions


The following items and Services are excluded from all subscription tiers unless expressly included in a written quote or scope document.


4.1 Regulated medical equipment


We do not inspect, test, Service, refill, certify, replace, or assume responsibility for:
a. Oxygen cylinders, regulators and related components;
b. Low-voltage rescue packs or electrical rescue equipment; or
c. Any regulated medical or safety device requiring specialist certification, calibration, testing or licensing.


4.2 Medications and scheduled substances


We do not supply, inspect, replace, recommend, dispose of or take responsibility for:
a. Prescription medications;
b. Medicines or scheduled substances regulated under applicable therapeutic goods or poisons laws;
c. Over-the-counter medications including analgesics and antihistamines; or
d. Disposal of expired pharmaceutical products.


4.3 Eyewash and irrigation systems


We do not inspect or maintain plumbed eyewash stations, wall-mounted eyewash systems or similar fixed irrigation equipment.


For clarity, single-use sterile eye flush sachets or bottles may be included as standard Consumables where approved by us for the relevant Kit.


4.4 Latex products


We do not supply latex gloves or other latex-containing products as standard items. We may substitute latex-free alternatives at our discretion.


4.5 Specialised and clinical equipment


We do not inspect, maintain, replace, certify or assume responsibility for:
a. Cervical collars, spinal boards or immobilisation devices;
b. Reusable resuscitation masks or non-disposable airway devices;
c. Reusable heat or cold therapy devices;
d. Sharps containers and clinical or biohazard waste Services; or
e. Diagnostic equipment including blood glucose monitors and pulse oximeters.


4.6 Client-added items


Any item placed in a Kit by you or on your behalf that was not supplied or approved by Infirmary Co is excluded from the Service. We are not responsible or liable for the suitability, expiry, legality, storage condition or performance of those items.


4.7 No clinical Services


The Service is not a medical Service, emergency response Service, medical device certification Service, pharmacy Service, or workplace safety audit.


5. Client responsibilities


You are solely responsible for:
a. Ensuring each Kit is present, identifiable, safely accessible and available at the agreed Service time;
b. Providing safe and timely access to your premises, including any site induction, access instructions, parking details, permits or escorts reasonably required;
c. Ensuring a safe working environment for our personnel at your premises;
d. Promptly providing accurate and complete information relevant to the Service;
e. Maintaining current contact details and payment details;
f. Conducting your own workplace risk assessments and determining the first aid resources required for your workplace; and
g. Complying with all applicable WHS Laws and any other laws applicable to your business, premises and workers.


6. Scheduling and Service visits


6.1 Scheduling


Service Visits will be scheduled in advance and confirmed by email, SMS, phone or another agreed method. We will use reasonable efforts to accommodate your preferred times, but do not guarantee any particular date or time unless expressly agreed in writing.


6.2 Rescheduling by Client


If you need to reschedule a Service Visit, you must notify us at least 2 Business Days before the scheduled time.


If you give less than 2 Business Days' notice, we may charge a failed attendance or rescheduling fee to reflect lost expenses, labour and administration costs at our Standard Hourly Rate.


6.3 Access failures and missed visits


If we cannot complete a Service Visit because:
a. The Kit is inaccessible, locked away, removed from site, empty of relevant contents, unsafe to access, or not made available;
b. Access to the premises is denied or delayed;
c. No suitable contact person is available where required; or
d. Site conditions are unsafe or non-compliant,


we may in our reasonable discretion treat the visit as a failed attendance.


For a failed attendance caused by the Client, we may do one or more of the following:
i. Count the visit as one of the scheduled visits for the Subscription Period;
ii. Charge a reasonable re-attendance fee based on our Standard Hourly Rate; or
iii. Reschedule the visit at a mutually agreed time.


We will act reasonably in deciding which option applies, having regard to the circumstances, the work already performed, and whether the issue is isolated or repeated.


6.4 Repeated access failures


If two (2) or more failed attendances occur within any rolling 12-month period due to circumstances within your control, we may, at our reasonable discretion, suspend the Service until we are reasonably satisfied that the issue has been resolved. A written notice will be issued following the first failed attendance.


Circumstances within your control include, but are not limited to:
a. Failure to provide access to the premises (locked, no keyholder present)
b. Key contact not available and no alternative arranged
c. Site access requirements not met (e.g. induction not completed, visitor not added to access list)
d. You rescheduled or cancelled with less than 48 hours' notice
e. Security or building management restricting entry due to client-site administration failure or;
f. Any other administrative or organisational failure on the behalf of your business or its staff.


6.5 Delays within our control


If we are unable to complete a Service Visit due to circumstances within our control, we will reschedule the visit at no additional charge.


6.6 Site induction time


Unless expressly stated otherwise in a written quote, subscription Fees do not include time spent by Infirmary Co personnel completing site inductions, site-specific onboarding, contractor registration, permit processing, waiting time associated with access approvals, or other entry compliance requirements imposed by the Client's site.


Any such time will be charged at the discretion of Infirmary Co, in addition to the subscription Fees at Infirmary Co's Standard Hourly Rate.


You must notify us before a scheduled Service Visit if site induction, contractor onboarding, permit processing, or other access requirements apply.


7. Fees and payment


7.1 Invoicing and payment


Subscription Fees are invoiced annually in advance unless otherwise agreed in writing. Fees for additional items, excess restocking, call-outs, custom Services or inductions are invoiced separately.


All invoices issued under this Agreement must be paid in full within 30 Business Days of the invoice date, unless otherwise agreed in writing.


7.2 Recurring payments


If you agree to recurring or automated payments, you authorise us and our payment Service providers to debit the payment method nominated by you for all Fees due under this Agreement, including renewal Fees, additional charges authorised by this Agreement, and any applicable failed payment charges.


You must ensure your payment details remain current and that sufficient funds are available on the due date.


7.3 GST


Unless expressly stated otherwise, all Fees are inclusive of GST. If GST is payable on a taxable supply made under this Agreement, the recipient must pay the GST component as part of the Fee. We will issue a valid tax invoice where required.


7.4 Late payment


If payment is not received by the due date, we may:
a. Charge interest on overdue amounts at 2% per month, calculated daily;
b. Suspend all or part of the Service on at least 7 days' written notice; and
c. Recover reasonable costs incurred in collecting overdue amounts.
7.5 Fee disputes
If you dispute an invoice in good faith, you must notify us within 7 days of the invoice date, setting out the reason for the dispute. You must still pay any undisputed portion by the due date. The parties will work together in good faith to resolve the disputed amount promptly.


7.6 Additional travel charges


The subscription Fees apply only to Service Visits within the Perth metropolitan area, unless otherwise stated in a quote or subscription confirmation.


Perth metropolitan area covers between: Mandurah,6210 & Two- Rocks, 6073


For Service Visits outside the Perth metropolitan area, Infirmary Co may charge additional amounts for travel and related out-of-pocket expenses, including:
a. Fuel costs;
b. Travel time – (Billed at hour Standard Hourly Rate);
c. Flights;
d. Additional baggage charges; and
e. Other reasonable travel or accommodation costs incurred in providing the Service.


Any such additional charges will be quoted to you in advance where reasonably practicable, or otherwise invoiced separately where they are necessarily incurred in connection with the Service.


8. Term and renewal


8.1 Initial term


This Agreement starts on the date your subscription is activated or otherwise confirmed by us and continues for the initial Subscription Period.


8.2 Automatic renewal


At the end of each Subscription Period, this Agreement will automatically renew for a further 12-month period unless either party gives written notice of non-renewal at least 30 days before the end of the current Subscription Period.


A written notice of the upcoming renewal will be provided to you, 3 months before the renewal date and a follow-up reminder 1 month before the renewal.


9. Cancellation and termination


9.1 Cancellation by Client for convenience


You may cancel this Agreement for convenience at any time by written notice to subscriptions@infirmaryco.com.au.


If you cancel for convenience:
a. The cancellation will take effect at the end of the current Subscription Period, unless we agree otherwise in writing;
b. The Service will continue until the end of the current Subscription Period unless earlier suspended or terminated under this Agreement; and
c. Fees already paid are non-refundable except where required by law, or expressly stated otherwise in this Agreement or as mutually agreed in writing between the parties.


9.2 Early termination by Client for our breach


You may terminate this Agreement before the end of the Subscription Period by written notice if we commit a material breach of this Agreement and fail to remedy that breach within 14 days after receiving written notice from you requiring us to do so.


If you validly terminate under this clause, we will refund any prepaid Fees on a pro-rata basis for the unused part of the Subscription Period, except to the extent the prepaid Fees relate to goods already supplied or non-recoverable costs reasonably incurred by us in connection with your subscription.


9.3 Termination by Infirmary Co for convenience


We may terminate this Agreement for convenience on at least 30 days' written notice. If we do so, we will provide a pro-rata refund of any prepaid Fees for the unused part of the Subscription Period, except to the extent the prepaid Fees relate to goods already supplied or non-recoverable costs reasonably incurred by us in connection with your subscription


9.4 Immediate termination by Infirmary Co


We may suspend or terminate this Agreement immediately by written notice if:
a. You fail to pay an amount due under this Agreement and that failure continues for at least 7 days after written notice from us;
b. You repeatedly prevent or materially delay Service Visits;
c. You provide false, misleading or incomplete information that materially affects the Service;
d. You or any person at your site engages in abusive, threatening, unlawful or unsafe conduct towards our personnel; or
e. The business is determined to be unsafe;
f. You commit a material breach of this Agreement that is not capable of remedy.


9.5 Effect of termination


On expiry or termination of this Agreement:
a. Your right to receive further Services ends, except for Services already paid for and still due to be provided where applicable;
b. All accrued rights and unpaid amounts remain payable;
c. Any clause intended to survive termination survives, including clauses dealing with payment, liability, intellectual property, confidentiality, privacy, dispute resolution and general provisions; and
d. Termination does not affect any rights or remedies accrued before termination.


10. WHS and compliance disclaimer


10.1 Compliance support only


The Service is a support and maintenance Service designed to assist with first aid Kit upkeep and related recordkeeping. It is not a substitute for your own legal, WHS, operational or clinical assessment.


10.2 No guarantee of legal compliance


We do not warrant or represent that completion of any Service Visit, issue of any report, or provision of any recommendation will ensure your workplace complies with all WHS Laws, codes of practice or other legal obligations.


10.3 Client remains responsible


You remain solely responsible for assessing workplace risks, determining the first aid resources required at your site, training your workers, and ensuring your first aid systems and workplace practices comply with all applicable laws.


11. Privacy


All personal and business information is handled by Infirmary Co in compliance with the Privacy Act 1988 (Cth) and applicable privacy laws. See Infirmary Co's Privacy Policy, for further information on how we collect, use, store, and disclose your information.


Your information may be used to manage your subscription, provide the Service, communicate with you about your account, arrange Service Visits, issue invoices, process payments, and otherwise administer this Agreement.


12. Suspension of Service


We may suspend all or part of the Service immediately on written notice where reasonably necessary because of:
a. Non-payment;
b. Unsafe site conditions;
c. Access issues preventing performance;
d. An actual or suspected legal or regulatory breach affecting the Service;
e. An emergency, incident, supply interruption or event beyond our reasonable control; or
f. Maintenance, operational updates or changes necessary to protect our personnel, systems or business operations.


Where reasonably practicable, we will give you advance notice of a suspension and work with you to restore the Service as soon as reasonably possible.


13. Liability


13.1 Implied rights preserved


To the maximum extent permitted by law, the Subscription Service, Website and any other Services provided are made available on an "as is" and "as available" basis.


We do not guarantee that the Subscription Service and/or the Website will always be available, uninterrupted, secure or free from errors, or that all information on the Website will always be accurate or current.


Nothing in these Terms excludes, restricts or modifies any right or remedy you may have under the Australian Consumer Law or any other law that cannot lawfully be excluded, including any consumer guarantee and any liability for personal injury or death caused by negligence where that liability cannot lawfully be excluded.


Where you are a business client and not requiring our goods for personal or domestic use where the law permits us to limit liability for a failure to comply with a consumer guarantee, under the Australian Consumer Law:
a. we, to the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with this Agreement or the Service, whether in contract, tort including negligence, statute, equity or otherwise, is limited to the total Fees paid by you under this Agreement in the 12 months preceding the event giving rise to the claim.
b. we exclude liability for indirect, incidental, special or consequential loss, including loss of profits, revenue, opportunity, savings or data; and
c. our total liability arising out of or in connection with the Subscription Service, Website, any order, any Goods, any Services, or these Terms is limited to the greater of:
(i) the amount you paid for the relevant Goods or Services that gave rise to the claim; and
(ii) if the claim relates to Goods, the cost of repairing, replacing or re-supplying those Goods or supplying equivalent Goods.


This limitation does not apply to liability arising from our negligence, or any liability that cannot lawfully be excluded or limited.


You acknowledge that medical and first-aid products must be used strictly in accordance with manufacturer instructions, warnings, intended purpose and applicable law. To the maximum extent permitted by law, we are not responsible for loss caused by misuse, improper storage, unauthorised modification, failure to follow instructions, or use by a person who is not appropriately trained or qualified, except where liability cannot lawfully be excluded.


Nothing in this Agreement excludes or limits any consumer guarantee, statutory warranty or other right that cannot lawfully be excluded.


Section 14 – Intellectual Property


14.1 Ownership All intellectual property rights (including copyright, trademarks, trade secrets, know-how, methodologies, and proprietary materials, whether registered or unregistered) in any Services, reports, compliance checklists, documentation, and other materials produced or provided by Infirmary Co Pty Ltd (ACN 696 634 698) in connection with the provision of our Services ("Materials") vest in and remain the exclusive property of Infirmary Co Pty Ltd.


14.2 Licence Grant Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Materials solely for your internal workplace health and safety and compliance purposes. You must not:
(a) reproduce, copy, modify, adapt, or create derivative works from the Materials;
(b) distribute, share, sublicence, or disclose the Materials to any third party without our prior written consent; or
(c) use the Materials for any commercial purpose or in any manner inconsistent with the purpose for which they were provided.


14.3 Revocation We may revoke the licence granted under clause 14.2 immediately upon written notice if you breach any provision of these Terms, including failure to make payment when due or misuse of the Materials.


14.4 Pre-Existing IP Nothing in these Terms transfers ownership of any pre-existing intellectual property, background materials, tools, or methodologies developed by us prior to or independently of your engagement. All such materials remain our exclusive property.


14.5 Breach You acknowledge that any unauthorised use of our intellectual property may cause us irreparable harm for which monetary damages may be an inadequate remedy. We reserve the right to seek injunctive relief or any other remedy available at law or in equity in the event of a breach of this clause.


14.6 Feedback If you provide feedback, suggestions, or requests for modifications to the Materials, any resulting modifications or derivative works remain the intellectual property of Infirmary Co Pty Ltd and are subject to the same licence terms set out in clause 14.


SECTION 15 - GOVERNING LAW


These Terms are governed by the laws of Western Australia, Australia.


You and we submit to the non-exclusive jurisdiction of the courts of Western Australia and any courts hearing appeals from those courts.


SECTION 16 - CHANGES TO THESE TERMS


You can review the current version of these Terms on this page.
Any update to these Terms will be made in accordance with the process described in the "About the Website" section.


Your continued use of the Subscription Service after an update takes effect will be taken as acceptance of the updated Terms, except to the extent that the update is unenforceable under applicable law.


SECTION 17 - TRAINING AND SAFE USE


The goods provided as part of the subscription Service, by us may only be suitable for use by people with appropriate training, qualifications, licences, authorisations or practical experience.


You are responsible for ensuring that Goods are used, stored and maintained only by appropriately trained persons and in accordance with manufacturer instructions, warnings, accepted safety procedures and applicable law.


Nothing in this section excludes any liability that cannot lawfully be excluded.
